Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your access to and use of LenNotes, a WhatsApp-first notes, reminders, and lists assistant, together with its website, applications, and related features (the "Service"). By creating an account, linking WhatsApp, or otherwise using the Service, you agree to these Terms and the LenNotes Privacy Policy. If you do not agree, do not use the Service.

2. Who We Are

LenNotes is operated by VaultAir Systems (Pty) Ltd ("VaultAir", "we", "us", or "our"), a company registered in the Republic of South Africa. The following is provided in line with section 43 of the Electronic Communications and Transactions Act, 2002 (ECTA):

3. What LenNotes Is

LenNotes lets you capture notes, set reminders, build lists, and search and organise your information through WhatsApp and supported web interfaces, with AI-assisted features. LenNotes is a productivity tool; it is not a backup service, an emergency or time-critical alerting service, or a substitute for professional advice. Reminders depend on third-party messaging and network availability and may be delayed or fail to deliver.

4. Eligibility

You may use LenNotes only if you are at least 18 years old (or the age of legal majority in your country, if higher), have the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under applicable law.

5. Accounts and Security

You create an account using an email and password, verify your phone number, and link WhatsApp. You are responsible for keeping your credentials confidential and for activity that occurs through your account or linked channels. Provide accurate information and keep it up to date. Notify us promptly at privacy@vaultair.systems if you suspect unauthorised use of your account.

7. Acceptable Use

You agree not to:

• use the Service in any way that violates applicable law or third-party rights;
• store or share content that is unlawful, harmful, abusive, harassing, defamatory, or infringing;
• store other people’s personal information without a lawful basis and the right to do so;
• attempt to reverse engineer, scrape, overload, or disrupt the Service or its infrastructure;
• upload malware or attempt unauthorised access to our systems or other users’ accounts; or
• use the Service to send spam or unsolicited bulk messages.

We may monitor use for safety, security, and compliance, and may remove content, restrict features, or suspend or terminate access for breaches of these Terms.

8. Your Content

You retain ownership of the notes, reminders, lists, and other content you create or submit ("Your Content"). You grant VaultAir a limited, worldwide, non-exclusive licence to host, store, process, and display Your Content only as necessary to operate, secure, support, and improve the Service, as described in the Privacy Policy. You are responsible for Your Content and for ensuring you have the right to store and share it.

9. Intellectual Property

LenNotes, including its name, logo, software, and design, is owned by VaultAir or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted by these Terms or with our prior written consent. All rights not expressly granted are reserved.

10. Plans, Trials, and Payment

LenNotes may offer free and paid plans. Plan features, limits, and pricing will be described in the product before you subscribe. Where paid plans are introduced, recurring billing, renewal, cancellation, and refund terms will be presented at checkout and apply in addition to these Terms. Nothing in these Terms limits non-excludable rights you have under applicable consumer law, including the South African Consumer Protection Act, 2008 and ECTA, or mandatory protections in the EU, UK, or your country of residence.

11. Third-Party Services

LenNotes integrates with third-party services, including Meta/WhatsApp (messaging), OpenAI (AI processing), and Amazon Web Services (hosting, email, and SMS verification). Your use of these services may be subject to their own terms. We are not responsible for third-party services outside our reasonable control.

12. Privacy

Your personal information is handled in accordance with the LenNotes Privacy Policy, which forms part of these Terms and is designed to comply with POPIA, the GDPR, the UK GDPR, and other applicable data protection laws.

13. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or availability. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reminders will always be delivered on time. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, VaultAir and its directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or ZAR 1,000 if you have not paid us. These limits do not apply to liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence where such limitation is prohibited, or for fraud.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless VaultAir from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your breach of these Terms, or your violation of any law or third-party rights.

16. Suspension and Termination

We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if we discontinue the Service. You may stop using LenNotes at any time and request deletion of your account and personal information as described in the Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms, except where applicable law requires your renewed consent.

18. Governing Law and Disputes

We encourage you to contact us first to resolve any dispute informally at privacy@vaultair.systems.

19. General

• Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and VaultAir regarding the Service.
• Severability: If any provision is invalid, the remaining provisions remain in effect.
• No waiver: Failure to enforce a provision is not a waiver of that provision.
• Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
• Language: These Terms are written in English; the English version governs unless local law requires otherwise.
